Terms and Conditions - The Business Whip Membership

1. Membership Overview

Welcome to "The Business Whip," a membership program offered by Be Laid Bare, LLC dba Business Laid Bare ("Company," "we," "us," or "our"). By enrolling in this membership ("Membership"), you agree to the following Terms and Conditions ("Terms") which constitute a legally binding agreement between you ("Member," "you," or "your") and the Company.

2. Membership Benefits

a. Done-With-You Consulting: Receive personalized 1-on-1 support to address challenges efficiently and gain expert guidance.

b. Proven Roadmap: Utilize the Orgasmic Operations® framework to create scalable systems and processes optimized for growth.

c. Live Office Hour "Days": Access over 6 hours of real-time guidance, answers to questions, and advice every Wednesday.

d. Community Collaboration: Connect with fellow impact-driven founders and share insights, strategies, and experiences.

e. Unlimited Feedback: Receive real-time personalized feedback on process maps, roadblocks, tech stack, and more.

f. Team Access: Invite up to 5 team members to join and access operational strategies for growth.

g. Dedicated Co-Working: Participate in dedicated co-working days to build and optimize operational systems.

h. Actionable Training Content: Access practical training materials including videos, templates, checklists, and resources.

i. Guest Experts: Learn from experts in various fields to enhance your business's effectiveness.

3. Membership Payment Options

Choose between an annual payment of $5000 or four quarterly payments of $1500.

4. Membership Duration and Renewal

The Membership has a 12-month commitment. After this period, you have the option to renew. If you paid annually, renewal extends for another year. Quarterly payments convert to a quarter-to-quarter subscription, allowing cancellation anytime. Manage your subscription settings in your ThriveCart portal.

5. Intellectual Property

All content, including training videos, worksheets, process maps, playbooks, templates, and checklists, is the exclusive property of Business Laid Bare. Members may not copy, reproduce, or use for commercial purposes without explicit written consent.

6. Confidentiality

As part of your participation in "The Business Whip" Membership, you may have access to certain confidential and proprietary information belonging to the Company and other members. You agree to treat all such information as confidential and not disclose it to any third party without the express written consent of the Company. You further agree to keep confidential all discussions, materials, and information shared within the Membership's community. This commitment to confidentiality extends beyond the duration of your Membership.

7. Termination

a. Termination by the Business

The Company reserves the right to terminate this Agreement at any time if the Member is in arrears of payment. In the event of default of this Agreement, including outstanding arrears, all payments shall become immediately due and payable. If the Member is in arrears or has otherwise defaulted under this Agreement, the Company's obligation to provide the Membership services shall cease immediately.

Furthermore, the Company retains the right to terminate this Agreement, acting reasonably and at its sole and absolute discretion, for various reasons including but not limited to disruptive or violent behavior by the Member, failure to adhere to program requirements, rules, or agreements, and repeated absence from scheduled sessions.

b. Termination by the Member

The Member is entitled to terminate this Agreement upon providing the Company with a notice of 30 days, regardless of the reason. Notice must be delivered to the Company via email (with read receipt), fax, letter, or other medium mutually agreed upon by both parties. Notice shall be deemed to be served after two days of the recorded method of service. In the event the Company waives notice, this Agreement shall terminate immediately. The Company may serve its notice of termination via email (with read receipt), and such notice shall be effective immediately.

c. Effect of Termination

Whether the Agreement is terminated by the Member or the Company, the Member shall not be entitled to any refund of monies paid and shall remain responsible for all outstanding amounts owed under the terms of this Agreement, which shall become immediately due and payable.

8. Chargebacks and Payment Disputes

The Member acknowledges that any attempt to initiate a chargeback or dispute a payment through their financial institution for Membership fees may result in immediate termination of their Membership and legal action to recover any outstanding amounts, as well as any costs or fees incurred by the Company as a result of the chargeback or dispute.

9. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. The total liability of the Company to the Member for any claim arising from or related to the Membership or these Terms shall not exceed the total amount paid by the Member for the Membership fees.

10. Release of Claims

The Member releases the Company, its officers, employees, contractors, and agents from any and all claims, demands, suits, liabilities, or damages of any kind arising from or in connection with their participation in the Membership or the use of any materials or resources provided as part of the Membership.

11. No Professional Advice

The information provided as part of the Membership, including advice, strategies, and recommendations, is for informational purposes only and does not constitute professional advice. The Company disclaims all liability for any decisions or actions taken based on the information provided in the Membership.

12. Right to Refuse Service

The Company reserves the right to refuse or terminate Membership to any individual at its sole discretion, without providing reasons for such decisions.

13. Survival of Terms

Any sections of these Terms that by their nature should survive termination (including but not limited to the Intellectual Property, Confidentiality, Termination, Effect of Termination, Limitation of Liability, Chargebacks and Payment Disputes, and Release of Claims sections) shall survive and continue to be binding upon the parties even after the termination of the Membership.

14. Entire Agreement and Amendments

These Terms, along with any documents referred to within, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements. The Company reserves the right to amend or modify these Terms at any time by providing notice to Members.

15. Privacy and Data Usage

Member information will be retained within Business Laid Bare and will not be shared with third parties.

16. Communication

We may communicate with you regarding the Membership using the email address provided during enrollment.
